Services:

 We offer web development, software development, UI/UX designs, and IT consultancy services ("Services") to assist you in achieving your digital objectives.

 The Services may include the creation of an admin panel to manage and control your digital solution.

Source Code Ownership:

 We retain full ownership of the source code developed for your project. 

 We grant you a non-exclusive, non-transferable license to use the admin panel developed for your project. 

 You are not entitled to receive or have access to the source code of the project.

 The source code remains with us to ensure proper maintenance, updates, and future enhancements.

Project Initiation:

In order for us to start the project, you must agree to these terms and conditions.

By agreeing to these terms and conditions, you confirm your understanding and acceptance of our policies and practices.

Payment:

 A 50% advance payment of the total project cost is required before the commencement of the project.

 The remaining balance must be paid upon completion of the project and before the final delivery.

Failure to make timely payments may result in a delay in project delivery.

Intellectual Property:

Any intellectual property, including but not limited to logos, trademarks, or copyrighted material provided by you, shall remain your property or the property of their respective owners.

You grant us a limited license to use your intellectual property solely for the purpose of fulfilling our obligations under this Agreement.

Confidentiality:

We understand the importance of your confidential information.

We will treat all information you provide as confidential and will not disclose it to any third party without your prior written consent, except as required by law.

Limitation of Liability:

We strive to provide high-quality services, but we cannot guarantee the success or profitability of your project.

 In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the Services provided.

Termination:

Either party may terminate this Agreement upon written notice if the other party breaches any material provision of this Agreement.

In the event of termination, you shall pay for the Services provided up until the date of termination.

Governing Law:

This Agreement shall be governed by and construed in accordance with the laws of India.

Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts in India.

Modification:

We reserve the right to modify these terms and conditions at any time.
